Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Verntro Labs ("Verntro Labs," "we," "us," or "our") governing your download, installation, and use of the DocLoft mobile application, together with any updates, upgrades, and related documentation (collectively, the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not download, install, or use the App.

01The App

DocLoft is a document scanning, editing, and management application for iOS. It allows you to capture documents with your device camera, import existing files, and edit, annotate, sign, convert, secure, organize, and share PDF documents.

The App is designed to operate on your device. Except as described in Section 8 (Optional iCloud Sync) and Section 9 (Third-Party File Providers), your documents are stored locally on your device and are not transmitted to Verntro Labs. We do not operate servers that receive, store, or process your documents.

1.1 Requirements

The App requires a compatible Apple device running iOS 17.0 or later. Certain features have additional requirements described in Section 7. You are responsible for obtaining and maintaining any device, operating system, and data connection required to use the App, and for any associated costs.

1.2 Permissions

The App may request access to your device camera (to scan documents) and photo library (to import images). You may grant or deny these permissions in iOS Settings. Denying a permission will disable the corresponding feature but will not otherwise limit the App.

02License

Subject to your compliance with these Terms, Verntro Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the App on Apple-branded devices that you own or control, solely for your personal or internal business purposes, and as permitted by the App Store Terms of Service and the Apple Media Services Terms and Conditions (the "Usage Rules").

This license is a grant of rights to use the App. It is not a sale of the App or of any copy of it. Verntro Labs and its licensors retain all right, title, and interest in and to the App.

2.1 Restrictions

You may not, and may not permit any third party to:

(a) copy, modify, adapt, translate, or create derivative works of the App;

(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the App, except to the limited extent such restriction is expressly prohibited by applicable law;

(c) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App or your rights under these Terms;

(d) remove, obscure, or alter any proprietary notice, label, or mark in the App;

(e) circumvent, disable, or interfere with any feature-gating, licensing, security, or purchase-verification mechanism in the App, or access paid features without purchasing them;

(f) use the App to develop a competing product or service, or for benchmarking or competitive analysis without our prior written consent;

(g) use any automated system to access or interact with the App in a manner that violates these Terms; or

(h) use the App in violation of any applicable law or regulation.

03Free Features and DocLoft Pro

3.1 Free Tier

The App is free to download and includes a substantial set of features at no cost, including document viewing, importing files from your device, rotating pages, converting images to PDF, basic highlight and underline annotation, sharing, and scanning of up to three (3) pages per scan session.

3.2 DocLoft Pro

Additional features (collectively, "Pro Features") are available through a one-time, non-consumable in-app purchase identified as com.docloft.fullunlock. Pro Features currently include: unlimited scanning; text recognition (OCR); full annotation and editing; merging PDFs; splitting PDFs; compressing PDFs; filling and signing forms; watermarks; password protection, redaction, and document security; exporting PDF to images; and on-device AI actions.

DocLoft Pro is a one-time purchase, not a subscription. There are no recurring charges and no auto-renewal.

3.3 Feature Changes

We may add, modify, improve, or discontinue features over time. We will not, however, move a feature that was included in the free tier at the time of your purchase behind the Pro paywall in a manner that deprives you of what you paid for. We reserve the right to change which features are included in the free tier for new users, and to change the price of DocLoft Pro for future purchasers. Price changes never apply retroactively to a purchase you have already made.

04Purchases, Payment, and Refunds

4.1 Processed by Apple

All purchases are processed by Apple through your Apple Account. Verntro Labs does not collect, receive, process, or store your payment card details or billing information. Your purchase is also subject to the Apple Media Services Terms and Conditions.

4.2 Restoring Purchases

Because DocLoft Pro is a non-consumable purchase tied to your Apple Account, you may restore it at no additional charge on any Apple device signed in with the same Apple Account, using the Restore Purchases option in the App's Settings. Restoring requires an active network connection so that Apple can verify your entitlement.

4.3 Refunds

Verntro Labs cannot issue refunds for App Store purchases. All refund requests are handled solely by Apple in accordance with Apple's policies. You may request a refund at reportaproblem.apple.com. If Apple issues you a refund, or if a transaction is otherwise revoked, reversed, or charged back, your access to Pro Features may be automatically withdrawn.

4.4 Purchase Verification

The App verifies purchases using Apple's StoreKit framework. If a purchase cannot be verified, or if Apple reports that a transaction has been revoked, Pro Features will be locked. If you believe this has occurred in error, contact us at the address in Section 20.

05Your Content and Ownership

You retain all right, title, and interest in and to the documents, images, text, signatures, and other content you create, capture, import, or process using the App ("Your Content"). Verntro Labs claims no ownership of Your Content and acquires no license to it.

Because Your Content is processed on your device and is not transmitted to us, we do not access, review, monitor, index, analyze, or store Your Content.

5.1 Your Responsibility for Your Content

You are solely responsible for Your Content and for your use of the App in relation to it. You represent and warrant that you have all necessary rights, permissions, and legal authority to capture, store, process, modify, and share Your Content, and that doing so does not violate any law or infringe the rights of any third party — including intellectual property, privacy, publicity, and confidentiality rights.

5.2 Backups and Data Loss

You are solely responsible for maintaining backups of Your Content. Because documents are stored locally on your device by default, they may be permanently lost if your device is lost, stolen, damaged, reset, or if the App is deleted. Deleting the App deletes its locally stored documents. To the maximum extent permitted by law, Verntro Labs is not liable for any loss, corruption, or unavailability of Your Content.

06Acceptable Use

You agree not to use the App to create, store, process, or distribute any content that:

(a) is unlawful, fraudulent, defamatory, harassing, or threatening;

(b) infringes or misappropriates any patent, copyright, trademark, trade secret, moral right, or other intellectual property or proprietary right;

(c) violates the privacy, publicity, or confidentiality rights of any person;

(d) constitutes forged, falsified, altered, or fraudulently modified documents, records, identification, credentials, currency, or official seals, or that is intended to deceive or defraud any person or institution;

(e) constitutes an unauthorized or fraudulent signature, or a signature applied without the signer's authority; or

(f) you are contractually or legally prohibited from creating, possessing, modifying, or disclosing.

You further agree not to use the App in any manner that could damage, disable, overburden, or impair the App or interfere with any other party's use of it.

We reserve the right to investigate and take appropriate action against any suspected violation of this Section, including terminating your license under Section 15. Because we do not have access to Your Content, enforcement is limited to information otherwise lawfully available to us.

07Feature-Specific Terms and Disclaimers

Please read this Section carefully. It describes important limitations of specific features.

7.1 Redaction — Verify Before You Share

The App's redaction feature is designed to be destructive: the affected page is rasterized and the underlying content is removed rather than merely covered with an opaque box.

Nevertheless, you are solely responsible for verifying that any redacted document meets your confidentiality, legal, regulatory, or contractual obligations before you disclose, transmit, file, or publish it. Verntro Labs makes no representation or warranty that redaction performed with the App satisfies any particular legal, evidentiary, governmental, court, regulatory, or industry standard — including standards applicable to litigation discovery, public records disclosure, government filings, HIPAA, GDPR, CCPA, or any similar regime. Do not rely solely on the App to remove sensitive information from a document where disclosure would cause harm. Always independently inspect the exported file.

7.2 Signatures — Not a Certified Electronic Signature Service

The Fill & Sign feature applies a drawn or captured image of a signature, together with typed text, to a document. Before your first signature, the App asks you to confirm that you adopt the signature you create as your signature and intend it to sign documents; that confirmation is recorded on your device only. If you choose, the App also prints the date and time of signing beneath the signature, taken from your device's clock. Apart from these, it is a visual signature tool. It does not provide, and is not intended to provide:

(a) a digital signature backed by a cryptographic certificate or public-key infrastructure (PKI);

(b) signer identity verification or authentication — the App does not check who you are;

(c) a tamper-evident audit trail, a certificate of completion, or any means of detecting whether a signed document was altered afterwards;

(d) a timestamp from a trusted or independently verified time source; or

(e) any service, warranty, or certification that a signature is legally valid, enforceable, admissible, or compliant with the U.S. ESIGN Act, UETA, eIDAS, or any other electronic signature law or standard.

The legal effect of any signature you apply depends on the circumstances, the applicable law, and the requirements of the parties and institutions involved. You are solely responsible for determining whether a document signed using the App is legally sufficient for your purposes. If you require a certified or legally attested electronic signature, or evidence that a signed document has not been modified, use a qualified electronic signature service.

7.3 Text Recognition (OCR)

OCR converts images of text into machine-readable text using on-device processing. Recognition is inherently imperfect and its accuracy depends on image quality, lighting, handwriting, fonts, languages, layout, and other factors. Recognized text may contain errors, omissions, or misreadings. Do not rely on OCR output for any purpose where accuracy is material — including legal, financial, medical, tax, accounting, contractual, or compliance purposes — without independently verifying it against the source document.

7.4 AI Actions

The App's AI features (such as summarization, key-information extraction, and title suggestion) run entirely on your device using Apple Intelligence and require an Apple Intelligence-capable device running a supported version of iOS. These features are unavailable on devices that do not meet those requirements.

AI-generated output is produced by a machine learning model and may be inaccurate, incomplete, misleading, or omit important information. It is provided for convenience only. It does not constitute legal, financial, medical, tax, or professional advice of any kind. Do not make any decision of consequence in reliance on AI-generated output without independently reviewing the underlying document. Verntro Labs does not warrant the accuracy, completeness, reliability, or fitness for any purpose of AI-generated output.

7.5 Password Protection and Encryption

The App can apply password protection to PDF documents using standard PDF encryption. You are responsible for choosing a strong password and for keeping it safe. Verntro Labs cannot recover, reset, bypass, or restore a lost or forgotten password, and cannot recover a document you can no longer open.

PDF encryption is a document-format feature with known and evolving limitations, and its strength depends on the password you choose and the tools available to a would-be attacker. Verntro Labs does not warrant that a password-protected document is secure against unauthorized access, and it should not be treated as a substitute for appropriate information security controls.

7.6 Compression, Conversion, and Editing

Compression, image conversion, and certain editing operations may reduce image quality, rasterize vector content, alter text selectability, discard metadata, or otherwise change a document's characteristics. Size estimates shown before an operation are approximations and actual results will vary. Always retain your original file if you may need it in its original form.

7.7 Document Accuracy Generally

The App is a tool for capturing and manipulating documents. It does not review, validate, certify, or attest to the accuracy, completeness, authenticity, or legal sufficiency of any document you create with it.

08Optional iCloud Sync

The App includes an optional, off-by-default iCloud sync feature that you may enable in Settings.

When enabled, your documents are synchronized through your own private iCloud account using Apple's CloudKit private database. Your documents are stored in your personal iCloud storage, are accessible only to you, and are not transmitted to, stored by, or accessible to Verntro Labs. We have no ability to view, retrieve, or restore documents in your iCloud account.

iCloud sync requires an Apple Account signed in to iCloud, available iCloud storage, and a network connection, and is subject to Apple's iCloud terms and policies. Verntro Labs is not responsible for the availability, performance, integrity, retention, or security of Apple's iCloud services, for any failure or delay in synchronization, or for any loss or corruption of data occurring within iCloud. Enabling or disabling sync takes effect the next time the App launches.

09Third-Party File Providers and Services

The App allows you to import documents from, and export documents to, third-party file storage providers through Apple's standard document picker (which may include iCloud Drive, Dropbox, Google Drive, Microsoft OneDrive, Box, and others), and to share documents through the iOS share sheet.

These are independent third-party services governed by their own terms and privacy policies. When you send a document to such a service or recipient, that transfer occurs outside the App and outside our control. Verntro Labs does not control, endorse, and is not responsible or liable for any third-party service, its availability, its handling of your data, or any content you transmit through it. Your use of any third-party service is solely between you and that provider.

10Privacy

The App does not require an account, sign-in, or registration. The App contains no advertising, no analytics SDKs, no tracking technologies, and no third-party data collection SDKs, and does not collect, transmit, or sell your personal information or Your Content.

Our handling of information is described in our Privacy Policy, available at the DocLoft Privacy Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy controls.

11Intellectual Property

The App, including its software, source code, design, user interface, graphics, illustrations, icons, text, layout, "look and feel," and the DocLoft and Verntro Labs names and logos, is owned by Verntro Labs and is protected by copyright, trademark, trade dress, and other intellectual property laws of the United States and other countries.

Except for the limited license expressly granted in Section 2, no right, title, license, or interest in or to the App or any intellectual property of Verntro Labs is granted to you, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

11.1 Feedback

If you send us suggestions, ideas, feature requests, bug reports, or other feedback about the App ("Feedback"), you grant Verntro Labs a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, and otherwise exploit that Feedback for any purpose, without any obligation, attribution, or compensation to you. Feedback is provided voluntarily and is not confidential.

12Support and Maintenance

Support for the App is available at verntrolabs.com/support. Verntro Labs is solely responsible for providing any maintenance and support for the App. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

We provide support on a commercially reasonable, best-efforts basis. We do not guarantee any particular response time or that any issue will be resolved.

13Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERNTRO LABS AND ITS SUPPLIERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, VERNTRO LABS DOES NOT WARRANT THAT: (a) THE APP WILL MEET YOUR REQUIREMENTS; (b) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) ANY DEFECT WILL BE CORRECTED; (d) THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (e) ANY OUTPUT OF THE APP — INCLUDING OCR TEXT, AI-GENERATED CONTENT, REDACTED DOCUMENTS, SIGNED DOCUMENTS, COMPRESSED OR CONVERTED FILES, OR PASSWORD-PROTECTED FILES — WILL BE ACCURATE, COMPLETE, SECURE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM VERNTRO LABS CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum scope and duration permitted by applicable law.

14Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL VERNTRO LABS OR ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, DOCUMENTS, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VERNTRO LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) THIS EXCLUSION APPLIES IN PARTICULAR — WITHOUT LIMITATION — TO ANY CLAIM ARISING FROM: LOSS, CORRUPTION, OR DISCLOSURE OF DOCUMENTS OR DATA; INADEQUATE, INCOMPLETE, OR FAILED REDACTION; INACCURATE OCR OR AI-GENERATED OUTPUT; A SIGNATURE BEING HELD INVALID OR UNENFORCEABLE; A LOST OR FORGOTTEN DOCUMENT PASSWORD; UNAUTHORIZED ACCESS TO A DOCUMENT; OR RELIANCE ON ANY OUTPUT OF THE APP.

(c) VERNTRO LABS' TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU ACTUALLY PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) TWENTY-FIVE U.S. DOLLARS (US$25.00).

These limitations apply even if any limited remedy fails of its essential purpose, and reflect an agreed allocation of risk that forms an essential basis of the bargain between you and Verntro Labs.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, or the limitation of liability for death, personal injury, fraud, or gross negligence, so some of the above may not apply to you. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

15Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Verntro Labs and its officers, members, employees, agents, suppliers, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your use or misuse of the App; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of the rights of any third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

16Termination

These Terms remain in effect until terminated.

By you: You may terminate these Terms at any time by deleting the App from all of your devices and ceasing all use of it.

By us: We may suspend or terminate your license immediately, without notice, if you materially breach these Terms — including any breach of Section 2.1 (Restrictions) or Section 6 (Acceptable Use).

Effect of termination: Upon termination, the license granted in Section 2 immediately ends and you must cease all use of the App and delete it from your devices. Termination does not entitle you to any refund. Sections 5, 6, 7, 9, 11, 13, 14, 15, 17, 18, and 20 survive termination, along with any other provision that by its nature should survive.

17Changes to These Terms and to the App

We may modify these Terms from time to time. When we do, we will revise the "Last Updated" date above and post the current version at this page. If a change is material, we will make reasonable efforts to provide additional notice, such as an in-app notice.

Your continued use of the App after revised Terms take effect constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the App and delete it.

We may also modify, suspend, or discontinue the App or any of its features at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

18Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the App are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Verntro Labs agree that the exclusive venue for any dispute arising out of or relating to these Terms or the App will be the state and federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

If you are a consumer residing in a jurisdiction whose law grants you the right to bring proceedings in your local courts or to the protection of mandatory consumer protection provisions that cannot be derogated from by agreement, nothing in this Section deprives you of that right or protection.

You and Verntro Labs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, to the maximum extent permitted by applicable law.

19Apple-Specific Terms

The following provisions apply to your use of the App obtained through the Apple App Store, and are required by Apple. In the event of a conflict between this Section and the remainder of these Terms, this Section controls with respect to the subject matter it addresses.

1. These Terms are concluded between you and Verntro Labs only, and not with Apple. Verntro Labs, not Apple, is solely responsible for the App and its content.
2. Your license to use the App is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
3. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
4. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Verntro Labs' sole responsibility.
5. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
6. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Verntro Labs, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
7. You represent and warrant that (a) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. You must comply with all applicable third-party terms of agreement when using the App.
9. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

20General

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Verntro Labs regarding the App and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, on that subject.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Verntro Labs.

Assignment. You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempted assignment without such consent is void. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure. Verntro Labs is not liable for any failure or delay in performance resulting from causes beyond its reasonable control.

No Agency. No joint venture, partnership, employment, agency, or fiduciary relationship exists between you and Verntro Labs as a result of these Terms.

Headings. Section headings are for convenience only and have no legal or contractual effect.

Export Compliance. You agree to comply with all applicable U.S. and foreign export control laws and regulations in connection with your use of the App.
